# Serendipia — Terms of Use

These Terms of Use ("Terms") govern your access to and use of winsmoread.com (the "Site"), operated by Winsmoread Limited ("Serendipia," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

## 1. Eligibility

The Site and any Sweepstakes offered on it are intended for legal residents of the United States who meet the eligibility requirements in the applicable [Official Rules](official-rules.md). By using the Site, you represent that you meet these requirements.

## 2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Submit false, fraudulent, or duplicate entries, or use automated means (bots, scripts) to enter or interact with the Site
- Attempt to interfere with, disrupt, or gain unauthorized access to the Site or its systems
- Use the Site in any way that violates applicable law

## 3. Sweepstakes

Any sweepstakes, giveaway, or promotion offered on the Site is governed by its own Official Rules, which are incorporated into these Terms by reference. In the event of a conflict between these Terms and the Official Rules for a specific promotion, the Official Rules control.

## 4. Third-Party Offers

After completing entry, you may be presented with offers from third parties ("Linkout" offers). Your interaction with any third-party offer, including any information you choose to submit directly to that third party, is governed by that third party's own terms and privacy policy. We are not responsible for the content, products, or services offered by third parties.

## 5. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is owned by or licensed to Serendipia and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

## 6. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

## 7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERENDIPIA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED $100.

## 8. Indemnification

You agree to indemnify and hold harmless Serendipia, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Site or violation of these Terms.

## 9. Dispute Resolution — Binding Arbitration and Class Action Waiver

**PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.**

Except where prohibited by law, you and Serendipia agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, rather than in court, except that either party may bring an individual action in small claims court.

**Class Action Waiver**: You and Serendipia agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as a class, consolidated, or representative action. If this class action waiver is found unenforceable, the arbitration agreement in this section shall be null and void, but the remainder of these Terms shall remain in effect.

**Opt-Out**: You may opt out of this arbitration agreement by sending written notice to 503A 5/F, Won Hing Building, 74-78 Stanley Street CA or support@winsmoread.com within 30 days of first accepting these Terms.

## 10. Governing Law

These Terms are governed by the laws of the State of CA, without regard to its conflict of law principles, except where such laws are preempted by or inconsistent with federal arbitration law.

## 11. Changes to These Terms

We may modify these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the modified Terms.
